The Met Office has issued the warning for tomorrow (Friday, November 29) between 12.15am and 10am.
An area of rain is expected to clear southwards across much of Wales, the Midlands, East Anglia and the south of northern England this evening (Thursday, November 28).
Following this, surface temperatures are expected to fall below freezing and following the rain and recent wet weather, many surfaces are likely to remain wet leading to icy stretches forming where these have not been treated.
People have been advised to be careful as some injuries may occur as a result of slips and falls on icy surfaces.
There is also likely to be icy patches on some untreated roads, pavements and cycle paths.
